Terms and Conditions for LedgraPoint

1. Introduction

These Terms and Conditions (“Terms”) govern your access to and use of the LedgraPoint platform and related services. By creating an account or using the service, you agree to these Terms.

2. Definitions

“Service” means the LedgraPoint platform, features, website, and support.
“User” means any individual or organization using the Service.
“Content” means information, documents, or files uploaded, generated, or processed through the Service.

3. Eligibility and Account

You must provide accurate registration details and maintain the confidentiality of credentials.
You are responsible for all activities under your account.
Notify us promptly of any unauthorized access or suspected security issue.

4. Service Description

The Service provides digital tools for organizing bookkeeping records and ledger documentation. Outputs are intended to assist professional review; you remain responsible for independent assessment and decisions.

5. Fees and Billing

Fees are listed on the Pricing page and billed in Canadian dollars unless stated otherwise.
Subscriptions renew automatically until cancelled via account settings.
Applicable taxes may be added as required by law.

6. Acceptable Use

Do not upload unlawful or harmful content or material you are not authorized to share.
Do not disrupt or attempt to bypass platform security or technical restrictions.
Do not use the Service in ways that violate applicable laws or third-party rights.

7. Your Content

You retain ownership of your Content.
You grant us a limited license to host, process, and display Content solely to provide the Service.
You are responsible for maintaining lawful records and backups as needed.

8. Third-Party Services

Integrations or linked services may be operated by third parties. Their terms and privacy practices apply to your use of those services.

9. Disclaimers

The Service is provided on an “as is” and “as available” basis. We do not make assurances regarding specific outcomes or timelines. Review outputs and consult a qualified professional when appropriate.

10. Limitation of Liability

To the maximum extent permitted by law, LedgraPoint and its affiliates shall not be liable for indirect, incidental, special, or consequential damages, or for lost data, arising from or related to your use of the Service.

11. Indemnity

You agree to indemnify and hold LedgraPoint harmless from claims, damages, and expenses arising from your use of the Service, your Content, or your breach of these Terms.

12. Termination

You may cancel at any time via account settings. We may suspend or terminate access for violations of these Terms or to meet legal requirements. Upon termination, your right to use the Service ends; certain provisions survive termination.

13. Service Cancellation and Refund Policy

Monthly plans: cancel anytime; access continues until the end of the current billing cycle. Charges for the ongoing cycle are non-refundable.
Annual plans: cancel anytime; access continues until the end of the term. Pro-rated refunds are not provided unless required by applicable consumer protection law.
Trials or promotions: if available, they convert to paid plans unless cancelled before the stated end date.
Exceptional refunds: considered case-by-case in instances of documented, material service unavailability; contact billing@ledgrapoint.com.

14. Modifications to the Service

We may adjust features, introduce new functionality, or discontinue elements to improve reliability or compliance. When feasible, we will provide notice of material changes.

15. Governing Law and Disputes

These Terms are governed by the laws of Canada and the Province of Ontario, without regard to conflict of laws rules. Disputes will be resolved in the courts located in Ontario, Canada, unless applicable law requires a different venue.

16. Changes to these Terms

We may update these Terms periodically. The updated version will be posted with a revised effective date. Continued use of the Service after updates constitutes acceptance.
